Terms of Service

These Terms of Service ("Terms") govern your access to and use of the ByeWhy service, website, and related products (the "Service") operated by ByeWhy ("we," "us," or "our"). By installing, accessing, or using the Service, you agree to these Terms. If you are using the Service on behalf of a business, you represent that you have authority to bind that business.

ByeWhy provides churn feedback surveys for Stripe merchants. When a customer cancels a subscription in your Stripe account, ByeWhy can automatically send them a feedback survey. You receive aggregated and per-response data through your Stripe dashboard and, where applicable, our API.

Your use of the Service is also governed by our Privacy Policy. You are responsible for the data you provide to us and for ensuring that your collection and use of end-customer data (including survey responses) complies with applicable law. We act as a data processor (or service provider) with respect to such end-customer data, and you remain the data controller (or business) for purposes of applicable privacy laws.

5. Fees and Billing

Pricing is described on our marketing site and, where applicable, in your Stripe Marketplace app subscription. You agree to pay all fees associated with your use of the Service. Fees may change with reasonable notice. Refunds are handled in accordance with our published policies and applicable law.

6. Intellectual Property

The Service, including its design, software, text, and other content, is owned by us or our licensors. We grant you a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes in accordance with these Terms. You retain ownership of any data you provide; you grant us a license to use that data to provide and improve the Service.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. YOU USE THE SERVICE AT YOUR OWN RISK.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities, so some of the above may not apply to you.

9. Indemnification

You agree to indemnify, defend, and hold harmless ByeWhy and its officers, directors, employees, and agents from and against any claims, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms or applicable law; (c) your violation of any third-party rights; or (d) any data or content you provide or process through the Service.

10. Termination

You may stop using the Service at any time by disconnecting the ByeWhy app from your Stripe account. We may suspend or terminate your access with or without cause and with or without notice. Upon termination, your right to use the Service ceases. Sections that by their nature should survive (including disclaimers, limitation of liability, indemnification, and governing law) will survive termination.

11. Changes to Terms

We may modify these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the modified Terms. If you do not agree, you must stop using the Service.
